Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Zero Finance and govern your access to and use of the website, web application, game, simulator, leaderboards, leagues and every related feature, service and piece of content (together, the “Platform”).

By accessing the Platform, creating an account, signing in (including with Google), or clicking any button indicating acceptance, you confirm that you have read, understood and agree to be bound by these Terms and by the Privacy Policy. If you do not agree, you must not access or use the Platform.

These Terms constitute an electronic record for the purposes of the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and do not require any physical or digital signature.

• “Zero Finance”, “we”, “us” and “our” mean the owners and operators of the Platform, acting through the Operators.
• “Operators” means, collectively and individually, the owners, founders, co-founders, promoters, shareholders, directors, officers, partners, employees, contractors, advisers, agents, affiliates, successors, assigns, licensors and service providers of the Platform, in each case whether past, present or future.
• “Virtual Currency” means every simulated balance, trading cash, game point, score, streak, badge, rank, reward and other in-Platform unit, by whatever name it is shown.
• “Simulated Activity” means every simulated order, trade, position, portfolio, return, profit, loss, quiz result, game run and league outcome generated on the Platform.
• “Market Data” means prices, quotes, indices, charts, historical bars, volumes, symbols and related information displayed on the Platform, from whatever source.
• “SEBI” means the Securities and Exchange Board of India.

Zero Finance is a Simulated Educational Tool. It is a market-simulation and learning environment designed to help users understand how markets, charts and portfolios behave, using virtual capital only.

All trading on the Platform is simulated. A “buy”, “sell”, “order”, “position”, “portfolio”, “profit”, “loss”, “return” or “holding” on the Platform is a record in a simulation. It is not a transaction in any security, derivative, commodity, currency or other instrument, and it creates no right, title, interest or obligation in or to any such instrument.

The Platform may use real or delayed Market Data so that the simulation is realistic. Using real Market Data as an input to a simulation does not make the Platform a trading venue, a broker, an exchange or a financial service.

The Platform is provided for education and entertainment only. You must not use it as a substitute for professional education, advice or judgment.

We are NOT a SEBI-registered broker. Neither the Platform nor any Operator is registered with, licensed by, authorised by, supervised by or endorsed by SEBI, the Reserve Bank of India, the Insolvency and Bankruptcy Board, the Insurance Regulatory and Development Authority of India, any stock exchange or depository, or any other financial regulator, in any capacity.

In particular, we are not, and do not hold ourselves out as:

• a stock broker, sub-broker, authorised person, trading member or clearing member under the SEBI (Stock Brokers) Regulations and the Securities Contracts (Regulation) Act, 1956;
• an investment adviser under the SEBI (Investment Advisers) Regulations, 2013, or a person who gives investment advice for consideration or otherwise;
• a research analyst under the SEBI (Research Analysts) Regulations, 2014, or a producer or distributor of research reports or research recommendations;
• a portfolio manager, mutual fund, alternative investment fund, collective investment scheme, depository participant or other intermediary under the Securities and Exchange Board of India Act, 1992 or the regulations made under it;
• an operator of any exchange, trading platform, alternative trading system or order-matching facility; or
• a lender, payment aggregator, payment system operator, wallet issuer or other regulated financial entity.

The Platform is designed so that it does not carry on any activity that calls for registration with SEBI: it does not accept or handle client money or securities, does not execute or route orders, and does not give investment advice.

Nothing in these Terms, on the Platform or in any communication from an Operator should be read as a statement, representation or implication that the Platform or any Operator is registered with or approved by SEBI or any other regulator.

We provide ZERO financial or investment advice. This is the case whether or not any statement is phrased as a suggestion, and whether it appears in a chart, a pattern explanation, a quiz, a leaderboard, a league, a watchlist, a “mover” list, a share card, a generated message, a notification, a social post or any other form.

Without limitation, none of the following is, or may be treated as, a recommendation, solicitation, offer, tip, call, research report, rating, price target or advice to buy, sell, hold or subscribe for any security or to adopt any investment strategy:

• any Market Data, price, index level, chart, indicator or candlestick pattern shown or explained on the Platform;
• any list of top gainers, top losers, most-active or trending instruments;
• any instrument included in the game, the watchlist, the universe of playable symbols or any league;
• any user's Simulated Activity, rank, portfolio or return, including those displayed on public leaderboards or share cards;
• any educational content, quiz question or answer, or pattern description; and
• any content generated by the Platform's automated or entertainment features, including the “Roast” feature, which is humour and not analysis.

Nothing on the Platform takes into account your objectives, financial situation, risk tolerance or needs. You should consult a qualified, SEBI-registered investment adviser, and your own tax and legal advisers, before making any real investment or financial decision. You alone are responsible for such decisions.

No Operator, and no user of the Platform, has any authority to give investment advice on behalf of the Platform. A statement made by any person on or about the Platform, including in a league, a share or a social-media post, is that person's own and is not endorsed by us.

No real money is traded on the Platform. The Platform does not accept deposits, hold client funds, open or maintain trading, demat or bank accounts, execute orders on any exchange, settle trades, lend, extend margin, or pay out money, securities or any other thing of monetary value.

Virtual Currency has no monetary value. It cannot be bought, sold, exchanged, redeemed, transferred or cashed out, for money or for anything else, on or off the Platform. A leaderboard rank, league win or reward is a recognition within a simulation and is not a prize of monetary value.

The Platform is not a game of chance, a wager, a bet or a gambling or real-money gaming service. No fee, stake or consideration is taken in exchange for any chance of winning money or money's worth, and none will be paid out.

Any request, from anyone, that you send money to, or share financial credentials with, the Platform or a person claiming to represent it is fraudulent. We will never ask you for your bank, card, demat, broker, PAN, Aadhaar or UPI details. Report any such request to us immediately.

Simulated and hypothetical results have inherent limitations. Results on the Platform are achieved with the benefit of hindsight in some modes, with no real capital at risk, with instantaneous and perfect order fills at displayed prices, and without the effect of brokerage, taxes, impact costs, slippage, liquidity constraints, circuit limits, margin calls, settlement risk or the emotional pressure of real losses.

No representation is made that any user will, or is likely to, achieve profits or losses similar to those shown on the Platform. There are frequently sharp differences between simulated results and the results subsequently achieved in real markets.

Investments in securities markets are subject to market risks, including the possible loss of your entire investment. Read all scheme-related and offer documents carefully, and consult a SEBI-registered adviser, before investing real money. Past performance, real or simulated, is not indicative of future results.

Market Data is obtained from third-party providers and public sources. It may be delayed, indicative, derived, estimated, simulated, historical, incomplete, adjusted or unavailable, and it may contain errors. It is provided for educational use only and must not be used as the basis for any real trading or investment decision.

Some figures, including certain index levels, may be derived or indicative rather than official. Official values are published only by the relevant exchange or index provider.

NSE, BSE, NIFTY, SENSEX and other exchange, index and company names, symbols and marks referred to on the Platform belong to their respective owners and are used only to identify the instruments or indices being simulated. The Platform is not affiliated with, sponsored by, endorsed by or connected to any exchange, index provider, listed company or data vendor.

We do not guarantee the accuracy, completeness, timeliness or availability of any Market Data or third-party content, and we are not responsible for any loss arising from reliance on it.

You must be at least eighteen (18) years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to create an account or use the Platform. If you are under eighteen, you must not register or use the Platform.

You must provide accurate information and keep it current. You may sign in with an email address and password or with a supported third-party identity provider such as Google. You are responsible for all activity under your account and for keeping your credentials secure. Notify us promptly of any suspected unauthorised use.

One person may hold one account. You must not create accounts by automated means, share an account, or create additional accounts to evade a restriction or gain an advantage.

The Platform is intended for users in India. You are responsible for ensuring that your use of the Platform is lawful where you are located.

Virtual Currency is granted, adjusted, reset or removed at our sole discretion, including to correct errors, remove the effect of abuse, rebalance the simulation or reflect changes to the Platform. You acquire no property right in Virtual Currency.

We may change starting balances, the rules for earning Virtual Currency, access conditions for particular features (including a requirement that a quiz be passed before the trading simulator is unlocked), leaderboard formulas and reward values at any time, with or without notice.

Any promotional credit offered through a partner is credited only to your Virtual Currency, on the partner's reporting and our verification, and is subject to the same terms: it is virtual, has no monetary value, and may be withheld or reversed where it was obtained in error or through abuse.

Leaderboards and leagues rank Simulated Activity within the simulation. They are entertainment and educational comparisons, not performance records, track records or endorsements, and they do not indicate the skill, competence or suitability of any user to manage money or give advice.

A masked form of your email address or a display name may be shown on public leaderboards and to members of leagues you join. By participating, you consent to that display.

You are responsible for what you create or share in connection with leagues, including league names and codes. Leagues are private rooms between their members; we do not supervise them and are not responsible for what members say or do.

Do not use a league, share card or social post to promote any security, solicit investment, or give or imply investment advice. Doing so may breach securities laws and these Terms, and any liability arising from it is yours alone.

Certain features, including the portfolio “Roast”, produce humorous or entertaining commentary on a user's Simulated Activity, using templates or automated systems. Such content is satire for entertainment only. It is not analysis, an assessment of your abilities, or advice of any kind, and it may be inaccurate, exaggerated or inappropriate for your circumstances.

Share cards and exported images show Simulated Activity only. If you share them, you must not present them as evidence of real trading performance, and you remain responsible for how you describe them.

The Platform may display links to, or promotions of, third-party websites, brokers and services, including paid partner and referral links through which an Operator may earn a commission if you open an account or take another action. This is a commercial relationship and not a recommendation.

A partner link is not advice, an endorsement, a solicitation or a referral for investment purposes. If you choose to open an account with a third party, you contract with that third party alone. Opening an account may involve real money and real risk. That third party, and not the Platform or any Operator, is solely responsible for its services, its regulatory status, its fees, its terms and your dealings with it.

We do not control, monitor or guarantee any third-party service and have no liability for it. Read the third party's terms, fees, risk disclosures and registration details, and consult an independent adviser, before you decide whether to engage with it.

You agree not to, and not to permit any other person to:

• use the Platform for any unlawful purpose, or in breach of any securities, banking, consumer, data-protection or technology law;
• give, solicit or imply investment advice, tips or recommendations, or promote any security, scheme, group, channel, course or service, through the Platform;
• represent Simulated Activity as real trading results, or use the Platform to mislead any person about a track record;
• exploit bugs, errors or loopholes to inflate Virtual Currency, a rank or a reward, or fail to report such a defect that you have discovered;
• use bots, scripts, scrapers, automated tools, emulators or any means of bypassing rate limits or access controls, or place excessive load on the Platform;
• attempt to probe, scan, test or breach the security of the Platform, or access data or accounts that are not yours;
• interfere with the Platform or its infrastructure, or introduce malware or malicious code;
• reverse engineer, decompile or extract source code, game assets, data or Market Data in bulk, except as the law allows;
• impersonate any person or entity, or misrepresent your affiliation; or
• harass, abuse or threaten others, or upload content that is unlawful, defamatory, obscene, infringing or otherwise objectionable.

We may investigate suspected breaches and may, in our sole discretion and with or without notice: remove or adjust Virtual Currency, ranks and rewards; restrict or disable features; remove content; suspend or ban accounts; and cooperate with law-enforcement and regulatory authorities.

Our decisions on fair play, rankings and rewards are final. Enforcement action does not limit any other remedy available to us in law or equity.

The Platform, including its software, game engine, design, text, graphics, logos, trade names, data compilations and content (other than third-party content), is owned by or licensed to us and is protected by Indian and international intellectual-property laws. All rights are reserved.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for your personal, non-commercial, educational use. No other right is granted.

Third-party names and marks, including those of exchanges and listed companies, belong to their owners.

You retain ownership of content you submit, such as league names. You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display and use that content as needed to operate, secure and improve the Platform.

If you give us feedback or suggestions, we may use them without restriction or compensation to you.

You confirm that you have the right to submit your content and that it does not infringe any law or third-party right.

Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge that you have read it.

To the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, title, non-infringement, uninterrupted or error-free operation, or that defects will be corrected.

We do not warrant that the Platform, its simulation or any Market Data will be accurate, timely, secure, available or free from viruses or harmful components, or that the educational content will achieve any result for you. We make no promise of profit, skill, income, career outcome or investment success.

To the fullest extent permitted by law, no Operator shall be liable to you or to anyone claiming through you for any direct, indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, data, goodwill, opportunity or anticipated savings, however arising and on any theory of liability (contract, tort including negligence, statute or otherwise), arising out of or in connection with the Platform or these Terms.

This includes, without limitation, any loss arising from any real-world investment, trading or financial decision that you make, whether or not it was informed, influenced or inspired by the Platform, Simulated Activity, Market Data or any content on the Platform. You acknowledge that no Operator has caused or can be responsible for such a loss.

Where liability cannot lawfully be excluded, the total aggregate liability of the Operators to you for all claims shall not exceed the greater of (a) the amount, if any, that you paid to us for the Platform in the twelve months before the claim arose, and (b) one thousand Indian rupees (INR 1,000). Because the Platform is provided free of charge, you agree that this limit is reasonable.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to defend, indemnify and hold harmless each Operator from and against any claim, demand, proceeding, liability, loss, penalty, damage, cost and expense (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Platform; (c) any content you submit or share; (d) any investment, trading or financial decision or activity that you undertake; (e) any statement you make that is, or could be characterised as, investment advice, a recommendation or a solicitation; and (f) your violation of any law or the rights of any person.

By using the Platform, you expressly acknowledge, represent and agree that:

• the Platform is a Simulated Educational Tool and not a brokerage, trading venue, advisory service or financial service of any kind;
• the Operators are not SEBI-registered brokers, advisers or analysts, and you are not their client, customer, investor or advisee for any regulatory purpose;
• no real money is traded and you have deposited, invested and risked none through the Platform;
• no financial or investment advice has been given to you by the Platform or any Operator, and you have not relied on any;
• no fiduciary, advisory, agency, partnership or similar relationship exists or arises between you and any Operator;
• you take sole responsibility for any real-world financial decision; and
• you irrevocably release and discharge each Operator from every claim, loss and liability, whether known or unknown, arising from your reliance on, or interpretation of, the Platform or its content as advice, a recommendation or a guarantee.

These acknowledgements survive termination of your account and of these Terms.

You are solely responsible for evaluating the merits and risks of any real financial decision. Securities markets are volatile and you may lose some or all of any amount you invest. Before acting on anything you have learnt, verify it independently with primary sources and with a qualified, SEBI-registered adviser.

You may stop using the Platform and ask us to delete your account at any time. We may suspend, restrict or terminate your access at any time, with or without notice or reason, including for breach of these Terms or to comply with law.

On termination, your licence ends and your Virtual Currency is forfeited without compensation. Sections that by their nature should survive termination, including the disclaimers, limitations, release, indemnity, intellectual-property and dispute provisions, will survive.

We may modify, suspend, reset, limit or discontinue the Platform or any feature (including Market Data sources, the game universe, leaderboards, leagues and rewards) at any time, temporarily or permanently, with or without notice. We are not liable to you or any third party for doing so.

The Platform depends on third-party infrastructure and data providers, and outages, delays and data errors may occur.

You consent to receive notices and communications from us electronically, including by posting on the Platform or sending a message to the email address on your account. Such notices are treated as received when posted or sent.

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Platform shall first be raised in writing through the grievance process below and the parties shall attempt in good faith to resolve it within thirty (30) days.

A dispute not so resolved shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement of the parties or, failing agreement within thirty (30) days, in accordance with that Act, with the seat and venue in India and the proceedings conducted in English. The award is final and binding.

Subject to the above, the courts of competent jurisdiction in India shall have exclusive jurisdiction over any matter that is not arbitrable or that requires interim relief. To the extent the law permits, any claim must be brought in your individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Platform and supersede earlier understandings.
• Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permissible and the rest of the Terms will remain in force.
• No waiver. A failure or delay in exercising a right is not a waiver of it.
• Assignment. You may not assign or transfer these Terms. We may assign them, including to a successor to the Platform, without your consent.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party infrastructure, data-provider failures, cyber-attacks, changes in law, governmental action and natural events.
• Third-party beneficiaries. Each Operator is an intended third-party beneficiary of the disclaimers, exclusions, releases and indemnities in these Terms and may enforce them directly.
• Headings are for convenience only and do not affect interpretation.

We may update these Terms from time to time. The “Effective” date at the top of this page shows when the current version took effect. Changes apply from the date they are posted. Your continued use of the Platform after a change means that you accept the revised Terms. If you do not agree with a change, you must stop using the Platform.

Questions about these Terms, and any grievance or complaint about the Platform or content on it, may be sent to contact@finance.zerodayonyx.com. We will acknowledge a grievance within a reasonable period and aim to resolve it within the time required by applicable law.

This contact channel is for support and grievances about the Platform. It is not an advisory service, and no Operator will answer questions about what to buy, sell or hold.
